Terms of Service

These Terms of Service explain the rules for using COSMIC, including account responsibilities, subscriptions, connected services, restaurant data, and acceptable use of the platform.

These Terms of Service (“Terms”) govern your access to and use of COSMIC, a product of Salt & Pixel Studio LLC (“COSMIC,” “we,” “us,” or “our”), including our websites, applications, software, tools, features, integrations, and related services.

By creating an account, purchasing a subscription, accessing COSMIC, or otherwise using our services, you agree to these Terms. If you are using COSMIC on behalf of a restaurant, company, or other organization, you represent that you have authority to agree to these Terms on its behalf.

About COSMIC

COSMIC is a restaurant management platform designed to help restaurants organize and manage operational information and connected tools. Depending on your subscription, configuration, and available integrations, COSMIC may provide features related to menus, online ordering, reservations, waitlists, catering, customers, QR codes, digital menus, reporting, inventory, food costs, vendors, locations, team access, integrations, and other restaurant operations.

Features may be added, modified, replaced, limited, or removed as COSMIC develops.

Eligibility

You must be legally capable of entering into a binding agreement to create or manage a COSMIC account.

COSMIC is intended primarily for businesses, restaurant operators, restaurant employees, authorized contractors, and other professional users. You may not use the platform if you are prohibited from doing so under applicable law.

Accounts and Account Security

You are responsible for providing accurate and current account information and for maintaining the confidentiality of your login credentials.

You are responsible for activity that occurs through your account and for ensuring that team members and other authorized users only receive the access they need.

You must notify us promptly if you believe your account has been accessed without authorization or if your credentials have been compromised.

COSMIC may provide role-based access, positions, permissions, or other controls that allow account owners and administrators to manage access for team members. The account owner or authorized administrator is responsible for configuring those permissions appropriately.

Restaurant and Organization Accounts

A COSMIC account may represent a restaurant, restaurant group, company, or other organization and may include one or more restaurant locations.

The person or organization responsible for the account is responsible for information entered into COSMIC, the actions of authorized users, connected services, configuration choices, and compliance with laws that apply to its business.

Subscriptions and Plans

Certain COSMIC features may require a paid subscription.

Subscription plans may differ based on included features, usage limits, number of locations, integrations, support levels, or other factors described at the time of purchase.

Unless otherwise stated, subscriptions automatically renew at the end of each billing period until cancelled.

You authorize COSMIC and its payment providers to charge the payment method associated with your account for applicable subscription fees, taxes, add-ons, and other authorized charges.

Pricing, plan names, included features, and subscription terms may change over time. Changes that affect an existing paid subscription will be handled in accordance with applicable law and any notice provided to you.

Free Trials and Promotional Access

COSMIC may offer free trials, promotional access, beta access, discounted subscriptions, or other limited offers.

Eligibility, duration, included features, and conversion to a paid subscription may vary by offer. Additional terms presented with a promotion or trial are incorporated into these Terms.

We may modify or discontinue promotional offers at any time unless otherwise required by law.

Cancellation and Refunds

You may cancel a COSMIC subscription according to the cancellation options available for your account.

Cancellation generally stops future subscription renewals but does not automatically erase restaurant data or account records.

Refund eligibility, billing adjustments, and related policies are described in our Refund & Cancellation Policy, which is incorporated into these Terms by reference.

Your Data

You retain ownership of restaurant information, content, records, images, menu information, customer information, and other data you or your authorized users submit to COSMIC.

You grant COSMIC a limited right to host, store, process, display, transmit, transform, synchronize, and otherwise use that data as reasonably necessary to provide, secure, maintain, and improve the services you request.

You are responsible for ensuring that you have the rights and permissions necessary to provide information to COSMIC and to authorize COSMIC to process it.

Customer and Guest Data

Restaurants may use COSMIC to manage information about their customers and guests, including information associated with reservations, waitlists, catering inquiries, orders, customer records, preferences, and other restaurant interactions.

The restaurant is responsible for determining what customer information it collects, why it collects that information, how it communicates its privacy practices, and whether it has the permissions required by applicable law.

When COSMIC processes restaurant customer information on behalf of a restaurant, COSMIC acts as a service provider to support the restaurant’s use of the platform.

Connected Services and Integrations

COSMIC may allow you to connect third-party products and services, including point-of-sale systems, website platforms, payment providers, accounting services, delivery platforms, business listings, and other restaurant technology.

You are responsible for authorizing connections to third-party services and for maintaining any third-party accounts, subscriptions, permissions, credentials, or agreements required to use those services.

When you enable an integration, you authorize COSMIC to exchange information with that provider as reasonably necessary to perform the requested integration.

Third-party services are governed by their own terms, privacy policies, pricing, availability, and technical requirements. COSMIC does not control those services and cannot guarantee that an integration will remain available or operate without interruption.

POS Integrations and Data Synchronization

COSMIC may connect with supported point-of-sale systems such as Square, Toast, Clover, or other providers as integrations become available.

Depending on the integration, COSMIC may receive, display, synchronize, or send information such as menu items, prices, variations, modifiers, availability, location information, identifiers, and mapping data.

Because third-party systems may change their APIs, permissions, account requirements, or technical behavior, synchronization may occasionally be delayed, incomplete, unavailable, or require manual review.

You are responsible for reviewing important restaurant information before relying on synchronized data for pricing, ordering, availability, or other business decisions.

Website, QR, and Digital Publishing

COSMIC may allow restaurant information to be published or synchronized to websites, QR menus, digital menus, downloadable menus, ordering interfaces, or other public-facing destinations.

You are responsible for reviewing your published information for accuracy, including prices, item descriptions, allergens, hours, availability, policies, and location information.

COSMIC is not responsible for outdated information caused by third-party outages, disconnected integrations, unsupported website configurations, unauthorized changes, or circumstances outside our reasonable control.

Acceptable Use

You may not use COSMIC to:

  • Violate applicable law or the rights of another person or organization
  • Access accounts, systems, or information without authorization
  • Upload malicious software, harmful code, or content designed to disrupt the platform
  • Attempt to bypass authentication, permissions, rate limits, or security controls
  • Interfere with the operation, security, or availability of COSMIC
  • Use COSMIC to distribute unlawful, fraudulent, deceptive, or abusive material
  • Reverse engineer or attempt to extract protected source code except where such restrictions are prohibited by law
  • Use automated systems in a manner that places unreasonable load on the platform
  • Resell, sublicense, or provide unauthorized access to COSMIC unless permitted by a separate written agreement
  • Misrepresent your identity, organization, authority, or relationship with another business

Restaurant Responsibilities

You remain responsible for operating your restaurant and for business decisions made using information available through COSMIC.

This includes responsibility for menu accuracy, pricing, allergen information, food safety, taxes, employee management, customer communications, reservations, order fulfillment, inventory decisions, financial reporting, legal compliance, and other restaurant operations.

COSMIC is a management and technology platform. It does not replace professional legal, accounting, tax, food safety, employment, or financial advice.

Intellectual Property

COSMIC, including its software, interface, branding, designs, graphics, documentation, code, workflows, and other platform materials, is owned by Salt & Pixel Studio LLC or its licensors and is protected by applicable intellectual property laws.

These Terms grant you a limited, non-exclusive, non-transferable, revocable right to access and use COSMIC for your internal business purposes while your account remains authorized and in good standing.

No ownership rights in COSMIC are transferred to you under these Terms.

Your Content

You retain ownership of content you provide to COSMIC.

You are responsible for ensuring that your content does not infringe intellectual property, privacy, publicity, contractual, or other rights belonging to another person or organization.

If you upload photographs, logos, menu descriptions, documents, or other materials, you represent that you have permission to use those materials in connection with your restaurant and COSMIC.

Feedback

If you provide suggestions, ideas, feature requests, recommendations, or other feedback about COSMIC, you allow us to use that feedback to develop, improve, market, and operate COSMIC without restriction or compensation to you.

This does not give COSMIC ownership of your restaurant data or confidential business information.

Beta and Preview Features

Some COSMIC features may be identified as beta, preview, experimental, early access, or otherwise under development.

These features may be incomplete, may change significantly, and may contain errors or limitations. We may modify or discontinue beta or preview features at any time.

You should not rely on an experimental feature as the sole system for critical restaurant operations unless COSMIC expressly states that the feature is ready for production use.

Platform Availability

We work to keep COSMIC available and reliable, but we do not guarantee uninterrupted or error-free operation.

The platform may occasionally be unavailable because of maintenance, software updates, security events, hosting issues, third-party outages, internet problems, integration failures, or circumstances outside our reasonable control.

We may perform maintenance or updates when reasonably necessary to operate, improve, or secure the platform.

Changes to COSMIC

COSMIC is an evolving platform. We may introduce new features, modify existing features, change workflows, update interfaces, change technical requirements, or discontinue features.

We will make reasonable efforts to communicate material changes that significantly affect paid services when appropriate.

Suspension and Termination

We may suspend or restrict access to COSMIC if reasonably necessary to address security risks, suspected fraud, nonpayment, unlawful activity, misuse of the platform, violations of these Terms, or threats to COSMIC or other users.

You may stop using COSMIC and cancel your subscription according to the cancellation terms applicable to your account.

Following termination, access to some or all account data may end. You are responsible for exporting information you are entitled to retain before access expires when export functionality is available.

We may retain certain records after termination when reasonably necessary for legal, accounting, security, fraud-prevention, dispute-resolution, or other legitimate business purposes.

Disclaimer of Warranties

To the maximum extent permitted by law, COSMIC is provided on an “as is” and “as available” basis.

We do not warrant that COSMIC will be uninterrupted, error-free, completely secure, compatible with every third-party service, or suitable for every restaurant workflow.

We do not guarantee specific sales, revenue, profitability, search rankings, customer growth, operational savings, or other business outcomes from using COSMIC.

Limitation of Liability

To the maximum extent permitted by applicable law, Salt & Pixel Studio LLC and its owners, employees, contractors, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to your use of COSMIC.

This includes, where permitted by law, loss of profits, revenue, business opportunities, goodwill, data, or anticipated savings.

To the maximum extent permitted by law, our aggregate liability arising from or relating to COSMIC will not exceed the amount you paid to COSMIC during the twelve months immediately preceding the event giving rise to the claim.

Some jurisdictions do not allow certain limitations of liability, so portions of this section may not apply to you.

Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Salt & Pixel Studio LLC and its owners, employees, contractors, affiliates, and service providers from claims, damages, liabilities, losses, and reasonable expenses arising from your misuse of COSMIC, your violation of these Terms, your content, your restaurant operations, or your violation of another person’s rights.

Privacy

Our collection and use of personal information is described in the COSMIC Privacy Policy.

By using COSMIC, you acknowledge that information may be processed as described in that policy and as necessary to provide services you request.

Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles, except where applicable law requires otherwise.

Any legal proceeding relating to these Terms or COSMIC that is not otherwise subject to a separate written dispute-resolution agreement will be brought in a court of competent jurisdiction in Florida, unless applicable law requires a different location.

Changes to These Terms

We may update these Terms as COSMIC develops, our business practices change, or legal requirements change.

When we update these Terms, we will revise the effective date shown at the top of this page. If a change materially affects your rights or obligations, we may provide additional notice through COSMIC, our website, email, or another reasonable method.

Your continued use of COSMIC after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by law.

Entire Agreement

These Terms, together with our Privacy Policy, Refund & Cancellation Policy, any plan-specific terms, and any other written agreement expressly incorporated into these Terms, form the agreement governing your use of COSMIC.

If you have entered into a separate written agreement with Salt & Pixel Studio LLC concerning COSMIC, that agreement will control to the extent it conflicts with these Terms.
